Please read these Terms and Conditions carefully before using Our Service.
Interpretation and Definitions
Words with initial capitals have the meanings defined below, whether singular or plural.
- Company (referred to as "the Company", "We", "Us" or "Our") refers to Vastocielo LLC, 940 Tall Pine Dr, Port Orange, FL 32127.
- Service refers to the Sonotempo application and website, accessible from https://www.sonotempo.com.
- Teacher means an adult (18 or older) account holder who offers music instruction through the Service as an independent professional.
- Guardian means a parent or legal guardian who holds an account and manages one or more Student profiles for a minor, including providing consent on the minor's behalf.
- Student means a person who receives music instruction through the Service. A minor Student participates only through a Guardian's account structure as described in "Accounts and Eligibility."
- Content means any material submitted, posted, or transmitted through the Service, including messages, practice notes, lesson plans, feedback, testimonials, images, and file attachments.
- Terms and Conditions (also "Terms") means these Terms and Conditions, including documents expressly incorporated by reference, which form the entire agreement between You and the Company regarding the Service.
- Device means any device that can access the Service.
- You means the individual accessing or using the Service, or the legal entity on whose behalf such individual is acting.
Acknowledgment
These are the Terms and Conditions governing use of this Service and the agreement between You and the Company. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service.
Your use of the Service is also subject to Our Privacy Policy, which describes how We collect, use, and disclose personal information, including our practices regarding children's data under COPPA. Please read it before using the Service.
Accounts and Eligibility
- Adults hold accounts. Accounts may be created and held only by persons 18 years of age or older. Teachers must be 18 or older.
- Minors participate through Guardians. A person under 18 may use the Service only as a Student through the Guardian account structure: a Guardian creates and controls the minor's participation, provides verifiable parental consent as described in our Privacy Policy, and accepts these Terms on the minor's behalf. By enrolling a minor, the Guardian represents that they are the minor's parent or legal guardian and agrees to these Terms both personally and on the minor's behalf.
- Guardian oversight is a condition of minor use. For any minor Student, no Teacher may teach, message, or be connected to the minor without first passing a background check, which the Service is built to enforce; and the minor participates only through the Guardian's account structure, which the Guardian holds and operates. These controls are structural features of the Service and cannot be waived or disabled while the Student is a minor.
- Account responsibility. You are responsible for safeguarding your login credentials and for all activity under your Account. You must provide accurate information (including a Student's accurate date of birth) and keep it current. You may not share an Account, impersonate another person, or create an Account for anyone other than yourself or, in the case of a Guardian, a minor in your legal care. Notify Us immediately of any unauthorized use of your Account.
Sonotempo Is a Platform, Not an Instruction Provider
Sonotempo is a software platform that connects independent music teachers with students and provides tools for scheduling, lesson management, practice tracking, and communication. The Company:
- does not provide music instruction and is not an educational institution, school, or employer of Teachers;
- engages in no supervision, direction, or control over the content, methods, quality, or outcomes of any instruction. Teachers are independent professionals, not employees, agents, partners, or representatives of the Company, and have no authority to bind the Company;
- does not endorse, certify, or guarantee any Teacher or Student, and does not verify the qualifications or credentials of Teachers or Students. The Company does, however, require every Teacher to pass a background check — conducted through a third-party screening provider, or satisfied by verified equivalent documentation the Company accepts — before that Teacher may teach, message, or be connected to any minor Student, and the Service is built to prevent Teachers who have not passed such a check from being connected to minors. A background check is a screening measure only: passing it is not a certification, endorsement, or guarantee of a Teacher's suitability, character, fitness, or safety, and Guardians and Students should not rely on it as such;
- is not a party to the relationship, agreement, or transactions between any Teacher and any Student or Guardian. Any dispute regarding instruction, scheduling, conduct, or payment arrangements outside the Service is between those parties;
- provides safety features (such as the background-check requirement that gates Teachers from minors) as tools to assist Guardians and Teachers. These features do not constitute a guarantee of safety, supervision, or monitoring by the Company, and do not replace a Guardian's own judgment and supervision.
To the maximum extent permitted by applicable law, the Company is not responsible or liable for the quality, safety, legality, or outcomes of instruction, or for the acts or omissions of any Teacher, Student, or Guardian, whether occurring on or off the Service.
User Content and Moderation
- Your Content stays yours. You (or the minor Student on whose behalf a Guardian consents) retain ownership of Content you submit.
- License to operate the Service. By submitting Content, You grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, and process that Content solely as necessary to operate, provide, and secure the Service — including displaying it to the users it is directed to (e.g., a Student's Teacher and Guardian) and processing it through our service providers as described in the Privacy Policy. This license ends when the Content is deleted from the Service, except as needed for legal compliance, backups pending deletion, and safety records described in the Privacy Policy.
- Publicly visible content is limited to adults. Only Guardians and adult (18+) Students may submit publicly visible Content such as testimonials. Content authored by a minor Student is never made publicly available and is visible only to the minor's Teacher and Guardian(s).
- Moderation. The Company may (but does not undertake a duty to) review, moderate, remove, or refuse any Content, and may suspend or terminate accounts that violate these Terms.
- Acceptable use. You may not submit Content that is unlawful, infringing, harassing, sexually explicit, harmful to minors, or that attempts to circumvent the Service's safety controls; you may not use the Service to contact a minor outside the visibility of their Guardian, attempt to move communications with a minor off-platform to evade safety controls, scrape data, interfere with the Service, or use another user's credentials.
- Feedback. If You submit suggestions or feedback about the Service, You grant the Company the right to use them without restriction or compensation.
Subscriptions and Billing
- Who pays. Sonotempo subscriptions are purchased by Teachers. Students and Guardians are not charged by the Company for platform access. (Payments for lessons themselves are arranged between Teachers and Students/Guardians and are not processed by the Company unless expressly stated in the Service.)
- Payment processing. Subscription payments are processed by Stripe. By subscribing, you agree to Stripe's applicable terms. We do not store full payment card numbers.
- Renewal. Subscriptions are billed in advance on a recurring basis (monthly or annual, as selected) and renew automatically until cancelled.
- Cancellation. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
- Refunds. Except where required by law, payments are non-refundable, and no refunds or credits are provided for partial billing periods, unused features, or downgrades — except that You may request a full refund within 48 hours of a charge, after which the charge is non-refundable. This 48-hour window applies to each charge, including automatic renewals.
- Price changes. We may change subscription prices with at least 30 days' notice; changes apply from your next renewal.
- Failure to pay. We may suspend or downgrade accounts with failed payments after reasonable notice.
Intellectual Property
The Service, including its software, design, features, text, graphics, logos, and the Sonotempo name and marks, is the exclusive property of Vastocielo LLC and is protected by copyright, trademark, and other laws. Except for the limited right to use the Service per these Terms, no right, title, or interest is transferred to You. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works of any part of the Service, or use the Sonotempo name or marks, without Our prior written consent. User Content is addressed in "User Content and Moderation."
Links to Other Websites
Our Service may contain links to third-party websites or services not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services, and shall not be liable for any damage or loss caused by use of or reliance on them. We advise You to read their terms and privacy policies.
Termination
We may suspend or terminate Your access immediately, without prior notice or liability, for any reason, including breach of these Terms or conduct that threatens the safety of any user (with particular regard to the safety of minors). Upon termination, Your right to use the Service ceases immediately. A Guardian may end a minor's participation at any time; data deletion on termination is governed by the Privacy Policy's retention and deletion provisions.
Limitation of Liability
Notwithstanding any damages that You might incur, the entire liability of the Company and its suppliers under these Terms, and Your exclusive remedy, shall be limited to the amount actually paid by You through the Service or 100 USD if You have not purchased anything through the Service.
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including damages for loss of profits, loss of data, business interruption, personal injury, or loss of privacy) arising out of or related to the use of or inability to use the Service, third-party software or hardware used with the Service, or any provision of these Terms, even if advised of the possibility of such damages and even if a remedy fails of its essential purpose.
Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages; in those states, each party's liability will be limited to the greatest extent permitted by law.
"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted by law, the Company, on its own behalf and on behalf of its licensors and service providers, expressly disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties arising from course of dealing or usage of trade. Without limitation, the Company makes no warranty that the Service will meet Your requirements, achieve intended results, be compatible with other software or systems, operate without interruption, meet performance or reliability standards, or be error-free, or that the Service or its servers are free of viruses or other harmful components.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on statutory consumer rights, so some or all of the above may not apply to You; in such case the exclusions and limitations apply to the greatest extent enforceable.
Governing Law
The laws of the State of Florida, United States, excluding its conflicts-of-law rules, shall govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.
Disputes Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at support@sonotempo.com.
For European Union (EU) Users
If You are a European Union consumer, You will benefit from any mandatory provisions of the law of the country in which You are resident.
United States Legal Compliance
You represent and warrant that (i) You are not located in a country subject to a United States government embargo or designated as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
Severability and Waiver
If any provision of these Terms is held unenforceable or invalid, it will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions continue in full force. Failure to exercise a right or require performance under these Terms does not waive that right, and waiver of a breach does not waive any subsequent breach.
Translation Interpretation
If these Terms have been translated, You agree that the original English text shall prevail in the case of a dispute.
Changes to These Terms and Conditions
We reserve the right to modify or replace these Terms at any time at Our sole discretion. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice before new terms take effect. By continuing to use the Service after revisions become effective, You agree to be bound by them. If You do not agree, please stop using the Service. Material changes affecting the collection, use, or disclosure of a Child's personal information additionally require new parental consent as described in the Privacy Policy.
